These Terms and Conditions of Sale (“Terms”) govern all purchases of food products (“Goods”) made through UtopiaUK.org (“Website”), operated by Utopia UK (“we”, “us”, “our”).
By placing an order, the customer (“you”, “your”, “Buyer”) agrees to be legally bound by these Terms.
These Terms apply exclusively to business customers purchasing wholesale quantities, including but not limited to restaurants, caterers, and food-service operators.
Consumers purchasing for personal use are not permitted to use this Website.
1. DEFINITIONS
- Agreement means the contract formed between you and us when an order is accepted.
- Goods means any food products or related items supplied by us.
- Order means the Buyer’s request to purchase Goods from us.
- Business Day means any day other than a Saturday, Sunday, or public holiday in the United Kingdom.
2. ORDERING & ACCEPTANCE
2.1 All Orders placed through the Website constitute an offer to purchase Goods.
2.2 First order takes 1 week to set up for the first delivery. We reserve the right to accept or reject any Order at our sole discretion.
2.3 An Agreement is formed only when:
- Payment is made to our website.
2.4 The Buyer is responsible for ensuring the accuracy of all purchase information submitted.
3. PRICES & PAYMENT
3.1 All prices displayed are exclusive of VAT at zeros percent as raw food is zero rated, unless otherwise stated.
3.2 Prices are subject to change without notice, but Orders already accepted will not be affected.
3.3 Payment terms:
- Payment is due at checkout.
4. DELIVERY
4.1 Delivery is available to commercial addresses within the United Kingdom only.
4.2 Delivery dates are 2 – 4 working days and are estimates and time of delivery is not of the essence.
4.3 Ownership of the Goods passes to the Buyer upon:
- full payment, and
- physical delivery or collection,
whichever is later.
4.4 Risk of damage or loss passes to the Buyer upon delivery.
5. QUALITY & INSPECTION
5.1 We warrant that the Goods supplied will conform to the specifications listed on the Website at the time of purchase.
5.2 The Buyer must inspect Goods immediately upon delivery.
5.3 Any issues including shortages, damage, or quality concerns must be reported within 2 hours of delivery.
5.4 Failure to notify us within this timeframe will constitute acceptance of the Goods.
6. RETURNS & REFUNDS
6.1 Due to the perishable nature of the Goods, we do not accept returns except where the Goods are faulty or not as described.
6.2 If a return is authorised, the Goods must be:
- kept refrigerated (where applicable),
- in the same condition as delivered, and
- made available for inspection or collection.
6.3 Refunds or replacements will be issued at our discretion.
6.4 All claims relating to non-delivery or short box count must be advised to the courier and noted on the courier’s delivery paperwork either on paper work or electronically at the time of signing for goods.
6.5 All claims relating to shortage of quality of goods once box is opened must be reported to Julia Reid on +447585082294, with in 2 hours. Failure to report within 2 hours will result in no credit being issued.
6.6 Burst vacuum packaging to be reported upon unpacking the delivery. These packages must be used first and you must liaise with Julia on the number above to monitor the situation.
6.7 Returns – once agreement to return goods has been agreed, products must be returned in the original packaging poly boxes and gel packs. Failure to do so will be immediate rejection of the credit upon receipt.
7. PRODUCT INFORMATION
7.1 All product descriptions, weights, images, and specifications are provided in good faith but may vary due to the natural nature of organic and fresh foods.
7.2 Goods may be subject to seasonal availability.
8. CUSTOMER OBLIGATIONS
The Buyer must:
- store and handle all Goods in accordance with food safety regulations,
- maintain proper refrigeration where required, and
- comply with all relevant laws governing the resale or use of food products.
We accept no responsibility for spoilage or deterioration resulting from improper handling after delivery.
9. LIMITATION OF LIABILITY
9.1 Nothing in these Terms limits liability for:
- death or personal injury caused by negligence,
- fraud or fraudulent misrepresentation,
- any other liability that cannot be excluded under UK law.
9.2 Subject to section 9.1, our liability shall be limited to the price paid for the Goods in question.
9.3 We shall not be liable for:
- loss of profits, business, or goodwill,
- indirect or consequential losses,
- delays beyond our reasonable control.
10. FORCE MAJEURE
We are not liable for failure to perform obligations due to events beyond our reasonable control, including but not limited to strikes, accidents, adverse weather, supply shortages, pandemics, transport failures, or government restrictions.
11. DATA PROTECTION
We process personal and business data in accordance with our Privacy Policy, available on the Website.
By placing an Order, you consent to such processing.
12. TERMINATION
We may suspend or cancel any Order or account if:
- payment is not made,
- the Buyer breaches these Terms, or
- we suspect fraudulent or improper activity.
13. GOVERNING LAW & JURISDICTION
13.1 These Terms are governed by the laws of England and Wales.
13.2 Any disputes shall be resolved exclusively in the courts of England and Wales.
14. AMENDMENTS
We may update these Terms from time to time. Updates apply to all Orders placed after the revised Terms are published on the Website.
